Dividend Policy and forcast

We believe that returning profits to shareholders is a vital issue facing company management, and we are taking a series of measures corresponding to our belief. Our basic dividend policy is to conduct the stable, continuous payment of dividends, taking a comprehensive evaluation of business performance and the business environment into account and our basis of dividend payout ratio (on a consolidated basis) which is set at 30% or more.
  Based on this approach, PRONEXUS initially forecasted a fiscal year-end dividend of 8 yen per share for the fiscal year ended March 2012. However, in light of its favorable business performance, PRONEXUS has decided to revise its fiscal year-end dividend to 9 yen per share in order to provide a greater return to its shareholders.
  As a result, adding this to its second quarter-end dividend of 8 yen per share that was already paid out, PRONEXUS will provide an annual dividend of 17 yen per share for the fiscal year ended March 2012.

Share Buybacks

PRONEXUS places importance on stock buyback for treasury in consideration that it will contribute to returning profits to shareholders and improving capital efficiency, we hold 3,920 thousand shares or approximately 10% of issued shares as of March 31, 2012.
  We announced that a resolution was passed at a board of directors' meeting held today regarding the acquisition of treasury stock in accordance with Article 156-1 of the Companies Act of Japan, applied pursuant to Article 165-3 of the same act.(Click here)

PRONEXUS instituted a shareholder benefit program starting in the fiscal year ended March 2010 to express its gratitude for the daily support of its shareholders and to encourage the long-term ownership of its stock.
  Based on the shareholder registry as of March 31 each year, shareholders who retain more than 100 shares of stock are presented with a 1,000 yen QUO gift card, while shareholders who retain more than 1,000 shares of stock are presented with a 3,000 yen QUO gift card.
